IMPORTANT — PLEASE READ CAREFULLY. RIGHTPT IS A TECHNOLOGY MARKETPLACE, NOT A HEALTHCARE PROVIDER. THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 20) THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING A 30-DAY RIGHT TO OPT OUT OF ARBITRATION. IF THIS IS A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM — DO NOT USE RIGHTPT.
These Terms of Use (the “Terms”) are a binding agreement between you (“you,” “User,” or “Patient”) and Right Care Marketplace LLC, a California limited liability company doing business as RightPT (“RightPT,” “Platform,” “we,” “us,” or “our”). The Terms govern your access to and use of the RightPT website, mobile applications, and related services (collectively, the “Services”). By creating an account, searching for providers, booking an appointment, making a payment, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, Consumer Health Data Notice, and any other policies referenced here, which are incorporated by reference.
1. What RightPT Is — and Is Not (Marketplace Only)
1.1 Technology Marketplace. RightPT operates an online marketplace that helps Users discover, compare, contact, schedule, communicate with, and pay independent physical therapy providers (“Providers”) who offer cash-pay services. RightPT provides technology and administrative tools only.
1.2 RightPT does not provide healthcare. RightPT is not a healthcare provider, physical therapy practice, medical group, telehealth company, staffing company, employer of Providers, professional corporation, or management services organization. RightPT does not practice physical therapy or medicine, does not supervise or direct Providers, and does not control or participate in any clinical decision.
1.3 Providers are independent. Each Provider is an independent healthcare business solely responsible for the care it delivers, including clinical appropriateness, treatment decisions, scope of practice, informed consent, documentation, recordkeeping, licensure, insurance, and compliance with law. Providers are not employees, agents, or representatives of RightPT, and RightPT is not responsible or liable for any act or omission of any Provider.
1.4 No provider–patient relationship with RightPT. Using the Services does not create any provider–patient, physician–patient, or therapist–patient relationship between you and RightPT. Any clinical relationship is solely between you and the Provider you select.
2. No Medical Advice; Your Responsibility
2.1 No Medical Advice. Content available through the Services — including Provider profiles, descriptions, articles, and search results — is for general informational purposes only and is not medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional with any questions about a medical condition. Never disregard professional medical advice or delay seeking it because of something you read on the Services.
2.2 Your Decisions. You are responsible for evaluating whether a Provider and the Services are appropriate for you, for verifying a Provider’s suitability and credentials to your satisfaction, and for your own healthcare decisions.
3. Emergencies
3.1 Not for Emergencies. The Services are not designed for medical emergencies. If you are experiencing a medical emergency, call 911 immediately or go to the nearest emergency room. Do not use RightPT messaging, booking, or any other feature to seek emergency or urgent care, and do not rely on the Services for time-sensitive medical needs.
4. Eligibility; Accounts; Account Security
4.1 Eligibility. You must be at least 18 years old and able to form a binding contract to create an account or make a Booking. If you are booking on behalf of a minor or another person, you represent that you are the parent or legal guardian or are otherwise authorized to act on that person’s behalf and to agree to these Terms for them.
4.2 Account Registration. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity under your account.
4.3 Account Security. Keep your credentials confidential and notify us promptly of any unauthorized use. We are not liable for losses arising from unauthorized use of your account that is not caused by our failure to meet our own security obligations.
5. Provider Listings; Verification Limits; Accuracy
5.1 Provider Information. Provider profiles, credentials, specialties, availability, and pricing are supplied largely by Providers. While RightPT performs certain onboarding checks (which may include license verification, NPI verification, malpractice-insurance verification, and sanctions/exclusion screening), RightPT does not guarantee the accuracy, completeness, currency, qualifications, licensure status, or quality of any Provider or Provider information.
5.2 Information-Accuracy Disclaimer. Listings may contain errors, omissions, or out-of-date information. You are responsible for confirming any information that matters to your decision directly with the Provider and, where appropriate, with the relevant state licensing board.
5.3 No Endorsement. Inclusion of a Provider in the Services, search ranking, or any badge or label is not a recommendation, endorsement, certification, or guarantee by RightPT of that Provider or of any treatment outcome.
6. Booking, Scheduling, and Required Acknowledgment
6.1 Bookings. When you book an appointment (a “Booking”), you are requesting and purchasing services directly from an independent Provider. The Provider, not RightPT, is responsible for accepting, performing, rescheduling, or declining the appointment and for the care provided.
6.2 No Guarantee of Availability or Outcome. RightPT does not guarantee that any Provider will be available, will accept your Booking, or will achieve any particular result. Individual results vary and are not typical or guaranteed.
6.3 Required Acknowledgment at Checkout. To complete a Booking, you must affirmatively acknowledge the following, which is a material term of these Terms:
“I understand that RightPT is a technology marketplace and is not providing healthcare services. My provider is an independent healthcare professional responsible for all clinical care.”
7. Pricing, Payments, and Stripe
7.1 Cash-Pay Prices. Providers set their own cash-pay prices for their services (the “Service Price”). The Service Price shown at checkout is the amount you authorize and agree to pay for the Booking.
7.2 Payment Processing. Payments are processed by our third-party payment processor, Stripe, through Stripe Connect. By making a payment, you also agree to Stripe’s applicable terms. You authorize RightPT and Stripe to charge your selected payment method for the Service Price and any other amounts you approve (such as applicable late-cancellation or no-show charges disclosed to you).
7.3 RightPT’s Fee. RightPT charges Providers a marketplace fee out of the Service Price for use of the Platform; this fee is a matter between RightPT and the Provider and does not add a separate charge to the price you see and approve at checkout. RightPT acts as the Provider’s limited payment collection agent for the purpose of accepting your payment on the Provider’s behalf.
7.4 Insurance. The Services are cash-pay. RightPT does not bill insurance on your behalf. If you wish to seek reimbursement from your insurer, you are responsible for doing so directly, and you may request an itemized receipt or superbill from your Provider where the Provider offers one. RightPT does not guarantee that any service will be reimbursable.
8. Cancellations, No-Shows, and Refunds
8.1 Policies. Cancellations, rescheduling, no-shows, late arrivals, and refunds are governed by the RightPT Refund & Cancellation Policy and by the cancellation terms displayed at the time of Booking, which are incorporated into these Terms. Please review them before booking.
8.2 Refund Administration. Where a refund is due under the applicable policy, RightPT may facilitate it through Stripe. Because Providers are independent, certain refund or service-quality matters may need to be resolved with the Provider; RightPT may assist but is not the provider of care and does not guarantee any clinical or service outcome.
9. Telehealth and Cross-State Care
9.1 Telehealth. Some Providers may offer virtual or telehealth visits. Telehealth has limitations and may not be appropriate for every condition. The Provider determines whether telehealth is clinically appropriate.
9.2 Licensure by Location. A Provider must generally be licensed in the state where you are located at the time of a visit. You are responsible for providing accurate location information. RightPT does not guarantee that any Provider is licensed to treat you in your location, and the Provider is responsible for confirming licensure and obtaining any required telehealth consent.
10. Reviews, Ratings, and User Content
10.1 User Content. You may be able to submit reviews, ratings, photos, messages, or other content (“User Content”). You are solely responsible for your User Content and represent that you have the rights to submit it and that it is accurate and not unlawful, defamatory, harassing, or infringing.
10.2 License. You grant RightPT a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, modify for formatting, and distribute your User Content in connection with operating and promoting the Services, subject to our Privacy Policy.
10.3 Moderation. RightPT may, but is not obligated to, review, moderate, decline to publish, or remove User Content in its reasonable discretion, consistent with applicable law, including the federal Consumer Review Fairness Act. We will not penalize you for an honest review.
10.4 Health Information in Content. Do not include sensitive health information in public reviews. Information you post publicly may be visible to others and may not be protected the way information shared privately with a Provider is.
11. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose, or to harass, threaten, or harm any person;
- Misrepresent your identity, impersonate others, or provide false information;
- Attempt to circumvent the Platform to avoid fees owed by a Provider, or solicit a Provider to transact off-Platform in violation of the Provider’s agreement (note: you always remain free to choose any provider);
- Scrape, harvest, reverse engineer, interfere with, overload, or attempt to gain unauthorized access to the Services or related systems;
- Upload viruses or malicious code, or use bots or automated means except as expressly permitted;
- Infringe any intellectual-property or privacy right, or post unlawful, defamatory, or obscene content.
We may investigate and take appropriate action, including removing content, suspending or terminating accounts, and cooperating with law enforcement.
12. Communications Consent; SMS
12.1 Communications. By creating an account or making a Booking, you consent to receive transactional and operational communications from RightPT and Providers by email, SMS, push notification, and phone, including booking confirmations, reminders, and account or security notices.
12.2 SMS / Text Messages. If you opt in to text messages, message and data rates may apply, message frequency varies, you can reply STOP to opt out or HELP for help, and consent to texts is not a condition of purchase. SMS communications are governed by the RightPT SMS Terms, incorporated by reference. Marketing communications are subject to your right to opt out at any time.
13. Privacy and Consumer Health Data
13.1 Privacy Policy. Our collection and use of personal information is described in the RightPT Privacy Policy, which includes your rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA/CPRA”).
13.2 Consumer Health Data. Information reasonably linked to your health is also addressed in our Consumer Health Data Notice. Please review both documents to understand how your information is handled and your choices.
14. Intellectual Property
14.1 Our IP. The Services, including software, design, text, graphics, logos, and the RightPT marks, are owned by RightPT or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended personal, non-commercial purpose, subject to these Terms.
14.2 Restrictions. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services, or remove proprietary notices, except as expressly permitted.
14.3 Copyright Complaints (DMCA). If you believe content on the Services infringes your copyright, contact us at admin@rightpt.com with the information required by the Digital Millennium Copyright Act. We may remove infringing content and terminate repeat infringers.
15. Third-Party Services and Links
The Services may rely on or link to third-party services (such as Stripe, calendar providers, maps, and communications tools) and websites we do not control. We are not responsible for third-party services, their content, or their practices. Your use of a third party’s service is governed by that party’s terms and policies.
Google Maps. The Services use Google Maps Platform (which may include the Maps and Places APIs). By using the mapping and location features, you agree to be bound by the Google Maps/Google Earth Additional Terms of Service, including the Google Terms of Service, and you acknowledge the Google Privacy Policy.
16. Disclaimers of Warranties
16.1 “As Is.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
16.2 No Healthcare Warranty. WE DO NOT WARRANT THE QUALIFICATIONS, LICENSURE, QUALITY, SAFETY, OR PERFORMANCE OF ANY PROVIDER, OR THAT ANY SERVICE WILL ACHIEVE ANY PARTICULAR RESULT. ANY CLAIM RELATING TO CARE IS BETWEEN YOU AND THE PROVIDER.
16.3 Availability. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
17. Limitation of Liability
17.1 Exclusion of Certain Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, RIGHTPT AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR PERSONAL INJURY OR DEATH CAUSED BY A PROVIDER, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PROVIDER, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
17.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, RIGHTPT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID THROUGH THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
17.3 Carve-Outs. Nothing in these Terms limits liability for fraud, willful injury, gross negligence, or any liability that cannot be limited or excluded under applicable law (including California Civil Code §1668). Because RightPT does not provide care, claims for clinical malpractice or injury lie against the Provider, not RightPT.
18. Indemnification
You agree to indemnify and hold harmless RightPT and its affiliates and their officers, directors, employees, and agents from claims, losses, liabilities, and reasonable attorneys’ fees arising out of or relating to (a) your use of the Services; (b) your violation of these Terms or applicable law; (c) your User Content; or (d) your interactions or disputes with any Provider, except to the extent caused by RightPT’s own gross negligence or willful misconduct.
19. Termination
19.1 By You. You may stop using the Services and close your account at any time.
19.2 By Us. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect Users, Providers, or the Platform. Sections that by their nature should survive (including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution) survive termination.
20. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT AND WAIVES CLASS ACTIONS AND JURY TRIALS, EXCEPT WHERE PROHIBITED BY LAW. YOU HAVE A 30-DAY RIGHT TO OPT OUT (SECTION 20.8).
20.1 Informal Resolution First. Before starting arbitration, you and RightPT agree to try to resolve the dispute informally by sending written notice describing the dispute and the relief sought to admin@rightpt.com, and to allow sixty (60) days to resolve it.
20.2 Agreement to Arbitrate. Except as set out below, you and RightPT agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, before a single neutral arbitrator. The Federal Arbitration Act governs this Section.
20.3 Arbitration Location and Costs. You may choose to have the arbitration conducted by phone or video, based on written submissions, or in person in the county where you live. RightPT will pay arbitration filing and arbitrator fees to the extent required by the AAA Consumer Arbitration Rules and applicable law.
20.4 Class Action Waiver. You and RightPT agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any representative proceeding.
20.5 Public Injunctive Relief (California). Notwithstanding the foregoing, a claim for public injunctive relief may be brought and is not waived. If a court decides that a claim for public injunctive relief may proceed, that claim will be severed and may be heard in court, while all other claims proceed in arbitration. This provision is intended to comply with California law (including the rule in McGill v. Citibank).
20.6 Small Claims. Either party may bring an individual claim in small-claims court if it qualifies.
20.7 Severability. If the class action waiver in Section 20.4 is found unenforceable as to a particular claim, that claim will be severed and heard in court, and the remaining claims will proceed in arbitration. If any other part of this Section is found unenforceable, the rest remains in effect.
20.8 30-Day Right to Opt Out. You may opt out of this arbitration agreement within thirty (30) days after you first accept these Terms by emailing admin@rightpt.com with your name, account email, and a clear statement that you opt out of arbitration. Opting out will not affect any other part of these Terms, and will not affect any prior arbitration agreement between you and RightPT.
21. Governing Law; State-Specific Rights
21.1 Governing Law. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 20. Subject to Section 20, the state and federal courts located in Santa Clara County, California have jurisdiction over disputes not subject to arbitration.
21.2 Your State’s Non-Waivable Rights. Nothing in these Terms limits any non-waivable consumer-protection rights you may have under the laws of the state where you live. Where a mandatory provision of your home state’s law conflicts with these Terms, that provision governs to the minimum extent required, and the rest of these Terms remain in effect.
21.3 California Notice (Civil Code §1789.3). California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
22. Changes to the Services and Terms
22.1 Changes. We may modify the Services or these Terms. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new “Last Updated” date or by other reasonable means). Changes are effective when posted unless stated otherwise. Your continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Services.
22.2 No Automatic Renewal Today. The Services currently charge per Booking and do not automatically renew. If RightPT later offers any subscription or membership, it will be governed by separate, clearly disclosed terms that comply with applicable automatic-renewal laws and give you an easy way to cancel.

25. Miscellaneous
25.1 Entire Agreement. These Terms, together with the policies incorporated by reference, are the entire agreement between you and RightPT regarding the Services and supersede prior agreements on that subject.
25.2 Assignment. You may not assign these Terms without our consent. We may assign these Terms to an affiliate or successor.
25.3 Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions remain in effect.
25.4 No Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
25.5 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
25.6 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and RightPT, or between RightPT and any Provider.
25.7 Interpretation. “Including” means “including without limitation.” Headings are for convenience only.
